YOUR ACCESS TO AND USE OF THE APPLICATION IS CONDITIONED ON YOUR ACCEPTANCE OF AND COMPLIANCE WITH THESE TERMS. BY ACCESSING OR USING THE APPLICATION YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICIY AND INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS CONTAINED IN THESE TERMS, THE SHOPPERS CIRCLE DOES NOT GRANT YOU THE RIGHT TO, AND YOU MUST NOT, ACCESS OR USE THE APPLICATION. Welcome to The Shoppers Circle Applications. The Shoppers Circle Applications is designed and owned by The Shoppers Circle, LLC. The following are the terms of a legal agreement between you and The Shoppers Circle. By installing, accessing or using any mobile apps, websites, email newsletters and subscriptions, and other digital properties on which these terms are posted or referenced (together, “online services”), you are entering into a binding agreement with The Shoppers Circle, LLC (“The Shoppers Circle”, “we” or “us”). These Terms of Use govern your access to and use of The Shoppers Circle Application; any content or other materials (including, without limitation, text, data, graphics, information, designs, drawings, logos, displays, artwork, images, photographs, sound, musical works, audio or video clips and works of authorship) uploaded, downloaded or appearing on or through The Shoppers Circle Application (“Content”); and any services or other resources The Shoppers Circle may provide on or through the Application. The Shoppers Circle Application, content, services and other resources are referred to in these Terms, collectively, as the “Application”. These Terms of Use are effective as of January 1, 2022.

By using The Shoppers Circle App, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your electronic devices, and you agree to accept responsibility for all activities that occur under your account or password. You must be 18 years or older to download The Shoppers Circle Application. If you are under 18, you may use The Shoppers Circle Application only with involvement of a parent or guardian. The Shoppers Circle reserve the right to terminate accounts in their sole discretion. The Application and Website may link or allow you to use third party websites, downloadable materials, content, social networks, or other digital service that are not owned or controlled by The Shoppers Circle. The Shoppers Circle does not assume any responsibility for, the content, privacy policies, or practices of any third-party applications or websites. These third parties may have their separate terms and conditions or privacy policies that you should review and understand before using them. The Shoppers Circle will not and cannot censor or edit the content of any third-party site. By using the Application, you expressly relieve The Shoppers Circle from any and all liability arising from your use of any third-party application, website, downloadable materials, content, social networks, or other digital service. These Terms of Service apply to all members of The Shoppers Circle Application including users who are also contributors of video content, information, and other materials or services on the Application and Website. The Shoppers Circle hereby grants you permission to use the Application as set forth in this Terms of Service, provided that: Your use of the Application as permitted is solely for your personal, noncommercial use. You will not copy or distribute any part of the Application in any medium without The Shoppers Circle prior written authorization. You will not alter or modify any part of the Application or Website other than as may be reasonably necessary to use the Application or Website for its intended purpose; and you will otherwise comply with the terms and conditions of these Terms of Service. In order to access features of the Application, you will have to create an account. You may never use another's account. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify The Shoppers Circle immediately of any breach of security or unauthorized use of your account. Although The Shoppers Circle will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of The Shoppers Circle or others due to such unauthorized use.

You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service.

The Shoppers Circle provides the online services “AS-IS” and without any warranties. The online services may include inaccuracies or errors. The Shoppers Circle provides the online services \"as is\" and without warranties of any kind either expressed or implied. The Shoppers Circle disclaims all warranties of merchantability and fitness for a particular purpose. The Shoppers Circle does not warrant or make any representation that the online services will be accurate, reliable, uninterrupted or error-free, that defects will be corrected, or that the online services are free of viruses or other harmful components. You assume total responsibility related to your use of the online services. Your sole remedy against The Shoppers Circle and all other members of The Shoppers Circle system for dissatisfaction with the online services is to stop using them. This limitation of relief is a part of the bargain between the parties. These warranty exclusions may not apply to you to the extent that applicable law does not allow the exclusion of implied warranties.

This Application and Website contains many valuable trademarks owned and used by The Shoppers Circle, and its subsidiaries and affiliates throughout the world. These trademarks are used to distinguish The Shoppers Circle quality products and services. These trademarks and related proprietary property are protected from reproduction and simulation under national and international laws and are not to be copied without the express written permission of The Shoppers Circle. The text, graphics and code contained in this Application are the exclusive property of The Shoppers Circle. Except where otherwise noted, the text, graphics and code contained here may not be copied, distributed, displayed, reproduced or transmitted in any form or by any means without the prior written permission of The Shoppers Circle. The Shoppers Circle Application and Website may link to sites not maintained by or related to The Shoppers Circle. Hyper-text links are provided as a service to users and are not sponsored by or affiliated with this Application and Website or The Shopper Circle. The Shoppers Circle has not reviewed the sites hyper-linked to or from this Application and is not responsible for the content of any other site. These links are to be accessed at the user's own risk. The Shoppers Circle makes no representations or warranties about the content, completeness, or accuracy of these links or the sites hyper-linked to this Application. The Shoppers Circle does not implicitly endorse third-party sites hyper-linked to this Application and Website. The Shoppers Circle App is equipped with mobile device location information features. With your permission, the Shoppers Circle App will collect location data produced by your mobile device at regular intervals.

Opting out of communications generally. You have a choice in how we communicate with you. You can find your communication preferences on how to opt out in your profile section of the Application. You may also have the ability to change your communication preferences using your device settings. You may need to separately manage your communication preferences for each communication method. You may need to separately adjust your preferences for each online service. For some account-related communications, the only way to stop receiving these communications may be to close your account.

The Shoppers Circle nor any other members of The Shoppers Circle system shall be liable for any direct or indirect lost profits or lost business damage, special, indirect, consequential, exemplary or incidental damages, including lost data, personal injury, or property damage related to or arising out of the online services. nothing in this section is intended to limit The Shoppers Circle liability for damages to the extent caused by The Shoppers Circle own gross negligence or intentional or unlawful misconduct. additionally, nothing in this section is intended to limit or alter your rights as a consumer that cannot be limited or altered under applicable law. The Shoppers Circle reserves all legal rights to recover damages or other compensation under these terms or as allowed by law. By subscribing, you consent to receiving emails per month, messages from us which may include offers from us, our participating retailers. When using your Shoppers Circle Application at participating retailer; simply redeem the offer and present/enter the QR code or promo code to the customer service representative within ten minutes of clicking the redeem offer button. You can locate The Shoppers Circle participating retailer by downloading the Application and completing the sign up. The Application is used to receive discounts from The Shoppers Circle participating retailers. The Applications is available for use as long as you are signed up as a member with The Shoppers Circle. The offers cannot be redeemed for cash nor does the Application have cash value.
